役員への外注費は否認される
役員が自分の会社と業務委託契約を交わして、会社の業務の一部を個人事業主として請負い、その費用を業務委託費として受け取ることはできるでしょうか。
結論からいえば、税務調査で「否認」されてしまいます。
その理由は、「法人の事業目的に定められている事業に係る業務については、役員としての地位に基づく業務執行の範囲内」と解釈されてしまうからです。
つまり、たとえ役員と会社が業務委託契約を交わしても、定款に定められている事業に係る業務については、役員の業務執行の範囲とみなされる、ということです。
したがって、役員が業務委託費として受け取った報酬は、「請負報酬」ではなく、役員が行う業務の対価として受け取る「給与」になり、否認されるというわけです。
役員報酬を損金にするためのルール
役員報酬を損金に計上するためには、「定期同額給与」というルールを守らなくてはいけません。
定期同額給与とは、役員報酬を「一定期間に一定額を受け取る」という要件です。
この要件から外れると、役員報酬を損金として計上できなくなります。
では、業務委託費として社長に支払った外注費は定期同額給与にあたるでしょうか？
外注費は一般的に、毎月同じ額ということはないでしょう。
仕事の量によって、ある月は多く、ある月は少ないというのが通常です。
中には毎月一定額支払う業務委託契約もあるかもしれませんが、役員報酬は、決算月から3か月以内に株主総会で決めなくてはいけないというルールがあり（定款に定めがある以外）、株主総会で決められてない役員報酬を支払っても、その部分は損金に計上できません。
株主総会で決めて支払えばと思われるかもしれませんが、それこそ役員報酬そのものになり、外注費と認められない根拠になります。
外注費が否認されると
役員への業務委託の外注費が否認されると、社長への報酬は「役員賞与」と認定されます。
役員賞与は、「事前確定届出給与に関する届け出」を届け出た以外は、損金に計上できません。
したがって、
- 法人で支出した外注費は役員賞与になり、損金不算入で法人税が発生
- 役員が受け取った請負報酬は役員賞与になり、源泉所得税の徴収漏れ
- 業務委託費として控除された消費税が課税

逆にいえば、税務調査官にすれば、否認できればそれだけおいしいわけで、役員に対する外注費を見つければまず認めてくれないでしょう。
外注費にするには
外注費と認められるには、その収入が事業所得に該当する必要があります。
最高裁の判例では、事業所得とは「自己の計算と危険において独立して営まれ、営利性、有償性を有し、かつ反復継続して遂行する意思と社会的地位とが客観的に認められる業務から生ずる所得とをいう」とされています。
法人の役員は、その役員という地位に基づいて業務を行っています。
そのため、「自己の計算と危険において独立して営まれている」というのはむずかしいのです。
もし、どうしても役員に業務委託したいのであれば、新たに法人を作ってその会社に委託とすれば、外部の独立した会社に業務委託したと、主張できる根拠にはなります。
しかしそうなると、消費税は控除できますが、社長個人の社会保険料は変わりませんので、果たして否認のリスクを負いつつこんな回りくどいことをする意味があるのか、という話になってきます（新設法人を作ってトータルで手取りを増やすという目的があれば別ですが）。
会社設立で外注費するための注意点
ただし、会社を設立して業務委託を請負う場合でも、会社法 第356条【競業及び利益相反取引の制限】に当たるので、株主総会で承認を取らなくてはいけません。
第356条
① 取締役は、次に掲げる場合には、株主総会において、当該取引につき重要な事実を開示し、その承認を受けなければならない。
一 取締役が自己又は第三者のために株式会社の事業の部類に属する取引をしようとするとき。
二 取締役が自己又は第三者のために株式会社と取引をしようとするとき。
三 株式会社が取締役の債務を保証することその他取締役以外の者との間において株式会社と当該取締役との利益が相反する取引をしようとするとき。
株主と社長が同一の場合には、利益相反取引は問題になりませんが、株主が他にいる場合には、利益相反取引の手続と責任は重要ですので注意しましょう。
